Vendor financing of GPU servers, and the bank loan that takes it out
How does GPU vendor financing work, and how does a project loan refinance it?
Dell Financial Services’ framework agreement with Nscale’s Ward County SPV is a master agreement under which each financing is a separate, non-cancellable schedule. Nscale buys the servers from a supplier of its choice and Dell Financial pays the supplier. Nscale has ten business days from delivery to reject for good cause, or the servers are deemed accepted. It must then sign the schedule within ten days or pay Dell Financial what it owes the supplier. Dell Financial can raise payments by up to 15% by notice if Nscale changes its order. The Ward County bank loan then takes it out: the first tranche of servers, bought with Dell financing, is repaid from the first draw, and title and warranties pass to the borrower. For in-house teams: vendor financing bridges the gap between the server order and the bank loan, so make sure it can be prepaid and its title released when the loan funds.
