Termination, change of control and survival

When can either side walk away from a development JV agreement?

Either side may end the agreement for a site after a material breach by the other that is not cured within 30 business days, extended by up to 60 more while a cure is pursued diligently. Either side may end the whole agreement within 60 days of learning of the other’s change of control. The no-hire covenant survives for two years, and ventures already formed are unaffected. MARA’s parent must keep MARA capitalised to meet its obligations. For in-house teams: a change of control right lets a partner exit if the other side is sold, so think about it before any group sale.

Method

Each extract is quoted from the contract as filed with the SEC, checked against the filed text when it was added; “…” marks words left out. Filers redact commercial terms, so a [***] or [*] is the filer's, not ours. The summaries describe the wording, not how a court would read it, and each contract's defined terms and other clauses can change the effect. General information drawn from public filings. It is not legal advice on any transaction, and using this page does not create a lawyer-client relationship. Views are personal.
