Parent guarantees of GPU project debt

Will a neocloud’s revolver let the parent guarantee a GPU or data centre project loan?

Yes, within tests set when the guarantee is given. Nscale may guarantee SPV debt that existed at signing. New guarantees of data centre project debt are allowed up to 90% loan to value where a material part of the SPV’s contracts are with investment grade counterparties, and 75% otherwise. Guarantees of GPU equipment debt are allowed up to 100% of cost, but any equipment debt above 110% of the fair market value of the SPV group’s GPU servers, valued by Nscale in good faith, counts against the non-guarantor debt basket instead. Other guaranteed SPV debt must mature at least 91 days after the revolver. No default may exist or result. For in-house teams on either side of a GPU loan: a parent guarantee is possible, but its size is set by the GPU value and the customer’s credit rating.

Method

Each extract is quoted from the contract as filed with the SEC, checked against the filed text when it was added; “…” marks words left out. Filers redact commercial terms, so a [***] or [*] is the filer's, not ours. The summaries describe the wording, not how a court would read it, and each contract's defined terms and other clauses can change the effect. General information drawn from public filings.
