Moving customer contracts and GPUs into SPVs, and curing SPV defaults

Can a neocloud move signed customer contracts, GPUs and data centre leases into a project SPV, or put in cash to cure the SPV’s loan?

Yes, through a named basket. Provided Nscale complies with its leverage covenant on a pro forma basis, it may contribute to its SPVs the master services agreements and order forms that an SPV loan contemplates, the GPU servers and equipment needed to serve them, and the data centre leases and licences needed to house them. It may also invest in an SPV to cure a default under the SPV’s credit agreement. The clause ends with a cap of the greater of $780.3m and 15% of EBITDA. Unless liquidity covers the revolver exposure, these investments are allowed only if liquidity after the investment exceeds the debt tested on that date. Nothing else may move into the SPVs. For in-house teams: a project lender will want the customer contract assigned into its SPV, and this is the basket that allows it.

Method

Each extract is quoted from the contract as filed with the SEC, checked against the filed text when it was added; “…” marks words left out. Filers redact commercial terms, so a [***] or [*] is the filer's, not ours. The summaries describe the wording, not how a court would read it, and each contract's defined terms and other clauses can change the effect. General information drawn from public filings.
