Data centre ABS triggers: cash trap, rapid amortisation and the ARD

How the DSCR trigger ladder works in data centre securitisations, with the actual cash trap and amortisation levels from the STACK, Centersquare, Compass, Vantage and Aligned master indentures.

a data centre securitisation does not have financial covenants in the loan sense. Instead it has a ladder of DSCR triggers. Fall below the first rung (around 1.30x to 1.35x) and surplus cash is trapped. Fall below the second (around 1.20x) and all surplus cash repays the notes. Miss the anticipated repayment date (ARD) and the coupon steps up. None of these is an event of default, which is what lets the notes carry an investment-grade rating on a pool of buildings.

The trigger ladder in public master indentures

Deal (document) Cash trap Amortisation / rapid amortisation How tested
STACK Infrastructure (combined master indenture, 2026) 1.30x Amortisation DSCR; 1.45x Class A DSCR after a springing amendment date 1.20x Three-month average
Centersquare (master indenture, 2024) 1.35x 1.20x Three-month average
Compass Datacenters (second A&R master indenture) Class A 1.30x / Class B 1.15x / Class C 1.05x Class A 1.20x / Class B 1.10x / Class C 1.00x Cash trap monthly; amortisation on three-month average
Vantage EMEA (Cardiff), 2024 1.35x 1.20x (rapid amortisation) Average of three calculation dates
Aligned Data Centers 2026-1 (S&P presale) 1.35x 1.20x Closing DSCR 1.83x

Three things stand out. First, the levels are very consistent: the market has settled on about 1.35x and 1.20x for the senior notes. Second, the gap between the closing DSCR and the trap (1.83x against 1.35x in Aligned's case) is the real cushion investors are buying. Third, the newer documents are getting more detailed: STACK's combined indenture moves to a class-specific 1.45x test after a springing amendment date, and Compass sets separate triggers for each class of notes.

Rung 1: the cash trap

When the DSCR falls below the cash trap level, excess cash is held in a cash trap reserve instead of being released to the sponsor. It comes back if the ratio recovers. Centersquare, for example, ends the trap when the three-month average DSCR is above 1.35x on the last day of two consecutive months.

The trap has a time limit. Under the Compass indenture, principal becomes payable if a Cash Trap Condition continues for more than six consecutive calendar months. Under Vantage Cardiff, the limit is nine months. For more on the mechanics, see cash sweeps and cash traps.

Rung 2: amortisation or rapid amortisation

Below about 1.20x, the deal starts paying itself down. During an amortisation period (Centersquare and Compass call it that; Vantage uses "Rapid Amortisation Event"), all excess cash flow goes to repay the notes in order of seniority. Vantage Cardiff's rapid amortisation can also be triggered by an unremedied breach of its tax deed of covenant, a useful reminder that not every trigger is a ratio.

Subordinate classes: interest deferral

Where a deal has a junior class, the junior notes may stop receiving current interest before the senior notes are affected. Sabey's 2025-2 deal reportedly lets Class B interest accrue (pay-in-kind) if DSCR falls below 1.30x. This protects senior cash flow without a default.

LTV sweeps

Some deals also test leverage. Vantage Cardiff sweeps cash to repay notes if a Class A loan-to-value test is breached; the presale for Aligned 2026-1 caps Class A at 70% LTV. LTV tests depend on appraisals, so they move less often than DSCR.

The anticipated repayment date

Data centre ABS notes have two dates:

  • ARD (anticipated repayment date): when the issuer is expected to refinance, usually five years after issue.
  • Rated final maturity: the legal final date, often 20 years or more later.

STACK's Series 2021-1 shows the pattern clearly: US$400m of Class A-2 notes at 1.877%, rated A-(sf) by S&P, with an ARD in March 2026, a rated final payment date in March 2046 and a post-ARD note spread of 0.95%. Vantage Cardiff's Class A-2 notes have an ARD in May 2029.

If the issuer does not refinance by the ARD, it is not in default. Instead, the coupon steps up by the post-ARD spread and excess cash is applied to principal. The step-up gives the sponsor a strong commercial reason to refinance on time, which is why investors treat the ARD as the expected maturity.

Why the structure matters for borrowers

For a data centre owner, the ladder gives room to manage a bad quarter without lenders taking control. For investors, it means the deal deleverages automatically before losses arise. For anyone comparing deals, the key numbers are the closing DSCR, the trap and amortisation levels, how they are averaged and the time limit on the trap.

Common questions

Questions clients ask

What is a cash trap DSCR in data centre ABS?
The debt service coverage level below which surplus cash is held in a reserve account instead of being released to the sponsor. In the public master indentures reviewed here it sits at 1.30x to 1.35x for the senior class.
What triggers rapid amortisation in a data centre securitisation?
Usually a DSCR below about 1.20x, measured as a three-month average. Once triggered, all excess cash goes to repay the notes.
What happens at the anticipated repayment date?
The issuer is expected to refinance. If it does not, the notes are not in default, but the interest rate steps up and surplus cash is used to repay principal until the rated final maturity.
