Can the owner’s lenders and tenant take over the construction contract?
The Ward County owner may assign or pledge the contract to its tenant or any lender without the contractor’s consent, and may share confidential information with lenders, rating agencies and anyone else in the project financing. It may also end the contract for convenience at any time. It then pays for work done and direct close-out costs, with no overhead, contingency or lost profit, and may take over the subcontracts. Both sides waive consequential losses, but not delay damages or third-party indemnities.

Each extract is quoted from the contract as filed with the SEC, checked against the filed text when it was added; “…” marks words left out. Filers redact commercial terms, so a [***] or [*] is the filer's, not ours. The summaries describe the wording, not how a court would read it, and each contract's defined terms and other clauses can change the effect. General information drawn from public filings.
