The minimum return: a multiple on invested capital

How is a development lender paid if the loan is repaid quickly?

Interest is 8% a year, paid in kind for the first 12 months and added to the loan, then in cash. The real economics sit in the base return: Macquarie must get back 1.25 times what it lent on each draw of the $100m note. Early repayment brings that down to 1.06 times within four months and 1.10 times within twelve. The multiple counts principal repaid, cash interest and upfront fees against everything lent, including interest added to the loan. It is due on every prepayment, including after acceleration, and default interest is a further 1.5% a month. The earlier $50m note set the base return at 1.10 times.

Each extract is quoted from the contract as filed with the SEC, checked against the filed text when it was added; “…” marks words left out. Filers redact commercial terms, so a [***] or [*] is the filer's, not ours. The summaries describe the wording, not how a court would read it, and each contract's defined terms and other clauses can change the effect. General information drawn from public filings.
