Who is NVIDIA in your capital stack?
NVIDIA makes the collateral in every GPU loan. In some deals it also sits in the cash flow or the equity. Lenders need to know which.
- 01In GMI Cloud's US$445m loan from CTBC, NVIDIA ranks senior to the lenders for its revenue share.
- 02The loan is capped at 55% of the NVIDIA contract's value and 80% of server capex.
- 03In the xAI lessor structure, NVIDIA is an anchor investor in the equity owner.
Every GPU loan is secured on NVIDIA hardware. That makes NVIDIA's supply terms, warranties and product cycle part of every credit analysis. In a few deals, NVIDIA's role goes further.
GMI Cloud: NVIDIA in the waterfall
In September 2026 GMI Cloud closed a US$445m GPU-backed loan from CTBC. The collateral is the GPUs and the cash flows under a master services agreement with NVIDIA. NVIDIA ranks senior to the lenders for its revenue share under that agreement, so the lenders are repaid from what is left.
The sizing reflects that. The loan is capped at 55% of the value of the NVIDIA agreement and at 80% of phase 1 and phase 2 server capex.
Three roles NVIDIA plays in public GPU financings
| Role | Example | What it means for lenders |
|---|---|---|
| Supplier of the collateral | Every public GPU loan; often bought through OEMs such as Dell (Lambda Compute I, IREN) | Supply terms, warranties and delivery timing drive draw conditions and residual value |
| Counterparty in the cash flow | GMI Cloud: GPUs and NVIDIA MSA cash flows secure the loan; NVIDIA senior for its revenue share | Lenders are paid after NVIDIA's share, so sizing is on the net cash flow |
| Equity investor | Valor Compute Infrastructure, equity owner of the xAI GPU lessor SPV, has NVIDIA as an anchor investor | The supplier also has an interest in the borrower group |
xAI: NVIDIA in the equity
The financing of GPUs for xAI's Colossus 2 cluster uses a lessor vehicle owned by Valor Compute Infrastructure, in which NVIDIA is an anchor investor. The vehicle buys NVIDIA systems and leases them to xAI. NVIDIA is therefore the seller of the collateral and an indirect investor in the buyer.
Why lenders care
None of this is unusual in asset finance. Aircraft manufacturers support sales with financing and guarantees, and engine makers run their own leasing businesses. But each role changes the analysis. A supplier that ranks ahead in the cash flow reduces what is available for debt service. A supplier in the equity may have interests that differ from the lenders' in a workout, for example over remarketing.
Questions for the next term sheet
- Does any supplier or counterparty rank ahead of the lenders, and is that ranking capped?
- Are supplier warranties assignable to the lenders, and do they survive enforcement?
- If the supplier is also an investor, are there consent or conflict provisions on remarketing?
- Is the cash flow used for sizing measured before or after the supplier's share?
