Leasing GPUs like aircraft: the lessor model behind xAI's Colossus 2

Most GPU loans lend to the company that uses the GPUs. The xAI financing put the GPUs in a separate lessor and leased them back, a model aircraft finance knows well.

The short version
  1. 01A Valor-owned SPV buys NVIDIA GB200 systems and leases them to xAI on a five-year triple-net lease.
  2. 02Apollo-managed funds led a US$3.5bn debt package secured on the GPUs and the lease, not on xAI's wider assets.
  3. 03Reports put the full vehicle at up to US$12.5bn.

In October 2025 reports described a financing for the GPUs in xAI's Colossus 2 cluster in Memphis that does not lend to xAI at all. Instead, a special purpose vehicle owned by Valor Compute Infrastructure, in which NVIDIA is an anchor investor, buys NVIDIA GB200 systems and leases them to xAI for five years on a triple-net basis. Apollo-managed funds led a US$3.5bn capital solution for the vehicle, and reports put the total at up to US$12.5bn.

The lenders are secured on the GPUs and the lease. Rent from xAI services the debt before any return reaches the equity.

The aircraft parallel

This is how operating lessors finance aircraft. The lessor owns the asset, the airline leases it, and the lessor's lenders rely on the lease and the aircraft. Three features carry over:

  • Triple-net terms. The lessee bears operating costs, insurance and upkeep, so the lessor's cash flow is the rent.
  • Lessee credit. The rent depends on the lessee, as it does on the customer in a GPU capacity contract.
  • Residual value. At the end of the lease the lessor owns hardware it must re-lease or sell. In aircraft that is the lessor's core skill and its main risk.

What it changes for the user

For the company using the compute, a lease can keep the debt off its own borrowing base and leave the residual risk with the lessor. For lenders it moves the analysis from a borrower's balance sheet to a single lease and a fleet of hardware.

Questions for the market

  • Who takes residual value risk at the end of a five-year lease, and how is it priced?
  • Does the lessee have return conditions, as an airline does?
  • Can the lessor repossess and redeploy GPUs installed in the lessee's own data centre?
  • Will dedicated GPU lessors develop, as aircraft lessors did?
